Aiming to find a legal framework for our operations based on European company law, we decided to found a European Economic Interest Grouping, which is a particular type of association.
Only companies from the Europien Economic Area (the EU plus Iceland, Norway and Lichtenstein) can become members of a EEIG. This means that our partners from outside the EEA will be endowed with special statutes enabling them to join the IPCT (according the IPCT internal rules).
The seat of the IPC Team is Prague, Czech Republic.
 
Note:
The European Economic Interest Grouping (EEIG), set up by regulation in 1985, has created a new type of association which enables separate businesses from different Member States to develop certain joint activities without having to merge or to set up a jointly owned subsidiary. EU Council Regulation (EEC) No 2137/85 of 25 July 1985 on the European Economic Interest Grouping (EEIG).
 
In the process of registration we collaborated with the Prague branch of one of the leading German accountancy, auditing and tax advisory firms, Rödl & Partner. 
 
 
What is the IPC TEAM
The IPC team is an European Economic Interest Grouping (EEIG), an alliance of 11 European Companies who have agreed to act in partnership to secure and fulfill contracts throughout Europe.

The Council of Ministers of the European Communities adopted in 1985 a regulation concerning the establishment of a European Economic Interest Grouping (EEIG). This provides a legal framework within which enterprises at the national level in different countries can cooperate together at the European level. This regulation forms part of a larger framework of actions being undertaken at the Community level to improve the competitivity of European enterprises in key industrial sectors. It aims to ensure that the use of this legal form is ["made as widely available as possible to natural persons, companies, firms and other legal bodies"] with ["the concept of economic activities being interpreted in the widest sense."] It is possible that this form might prove appropriate to some non-profit organizations which currently take the form of trade associations and associations of manufacturers.
During the debate on 12th March 1987 in the European Parliament concerning non-profit-making associations, the Vice-President of the Commission, Henning Christopher, made the following remark concerning the Regulation: ["Even if non-profit-making associations cannot be defined as being members of an interest grouping, they may come under the definition, contained in that regulation, of other legal persons governed by public or private law pursuing long-term aims such as research and development. That means that there is another category of associations covered by Community protection. From 1 July 1989 this regulation will allow transfrontier cooperation between universities, research centers and undertakings and may even go further. So here too there is a legal basis already allowing the Commission and the Community to ensure protection against discrimination."] (1)

PURPOSE OF THE GROUPING AND THE SCOPE OF BUSINESS
 
The Grouping is formed to facilitate and develop the economic activities of its members in order to support and promote sale of the ALUKOV (IPC Team) swimming pool enclosures, particularly supranational forms of marketing and promotion of IPC Team products, marketing and promotion of the IPC Team brand, public relations products and IPC Team members, cooperation with partnership companies from outside the EU, coordination of the cooperation between IPC Team members in the area of production, sale, marketing and information provision, further financial and organizational support of IPC Team members in the area of local marketing, organizing of exhibitions, promotion in electronic media, magazines and other forms of advertisement, exchange of technical, business, marketing and managerial experience among the IPC Team members, establishment of information databases related to the swimming pool industry in Europe and other continents, monitoring of trends in the swimming pool industry, particularly in connection with swimming pool enclosures and products of competitors, establishment of an electronic information database with technical, photographic and promotion documentation and its provision to the IPC Team members, joint building of know-how of IPC Team, building of “corporate identity” for the IPC Team, promotion of IPC Team discussion platform dealing with IPC Team policy, development, technology and other crucial objectives of the Grouping, promotion of wellness lifestyle and swimming pool culture, public education as to wellness issues, swimming pool culture and use of swimming pool enclosures, promotion of good relations between IPC Team members, creation and enhancement of partnership contacts with other associations, prominent personalities, companies and groups active in the IPC Teams areas of interest, promotion of European business activities in EU Member States and countries outside Europe.
